Setting up your trade discounts means turning a list price into a controlled net price for qualifying business customers. A sound policy defines who qualifies, what triggers the reduction, how the price appears in quotes and invoices, and how staff record the net merchandise cost. It also separates trade discounts from early-payment discounts and checks U.S. competition and price-display rules before launch.

What a trade discount is—and what it is not

A trade discount is a reduction from a list or catalog price offered to a business customer under stated commercial conditions. The list price is the reference point; the customer pays the resulting net price. The discount may be tied to a verified trade account, an order quantity, cumulative purchases, a product group, or negotiated account terms.

IRS Publication 334 (2025) describes trade discounts as reductions from list or catalog prices that are generally not written separately on the invoice or charged to the customer. In the accounting treatment described there, the business uses only the net amount as the merchandise cost rather than entering the trade discount as a separate book entry. Apply the publication’s treatment only after checking the tax and accounting rules that fit your entity and records.

Trade discount versus cash discount

A trade discount changes the selling price because the customer meets a commercial qualification. A cash discount, sometimes called an early-payment or purchase discount, rewards payment within a specified period. IRS Publication 334 discusses cash discounts separately and describes alternative methods for accounting for purchase discounts. Do not label an early-payment concession as a trade discount: the trigger, invoice language, revenue timing, and bookkeeping can differ.

Decide what your policy is meant to achieve

Write the business objective before choosing a schedule. You might be trying to reward repeat trade customers, reduce selling and delivery cost on larger orders, move a defined product category, or make quoting faster for approved accounts. One policy can support several objectives, but each trigger should be understandable and measurable.

  • Customer access: Will every verified trade account receive the same schedule, or will selected accounts receive negotiated terms?
  • Order behavior: Is the trigger the quantity on one order, a rolling or calendar-period total, or a committed account volume?
  • Product scope: Does the reduction apply to all products, only specified categories, or a list of excluded items?
  • Commercial control: Who can approve exceptions, and when does an exception expire?
  • Administration: Can your quoting, invoicing, and bookkeeping process apply the rule consistently?

No authoritative source establishes a universal discount percentage or an optimal tier structure. Set levels from your own cost, margin, capacity, and customer-behavior data rather than copying a market number.

Build the discount policy step by step

1. Establish the reference price

Define the list or catalog price for each product or service and state when it changes. Keep a dated price list or version history so staff can explain which reference price applied to a quote. If prices vary by region, channel, or account, identify the applicable list explicitly.

2. Define qualifying customers

Use objective criteria that staff can verify. A trade account might require a business name, billing and delivery details, a resale or trade credential where relevant, and an approved account record. State whether eligibility begins on approval, the first qualifying order, or another event. Explain renewal, suspension for overdue balances, and what happens when ownership or business details change.

  • Ideal For Small Business or Personal Use: An accounting log journal can track your business or personal financial status. With a clear record of transactions, you can find unnecessary expenses or fraudulent charges

3. Define the trigger and measurement period

Choose one or more triggers and write the measurement rule in plain language:

  • Per-order quantity: the discount applies when units, area, or another defined measure on one order reaches a threshold.
  • Cumulative purchasing: eligible purchases accumulate during a stated calendar period or rolling window; specify whether returns, credits, tax, freight, and cancelled orders count.
  • Product category: only named categories qualify, with a maintained list of exclusions.
  • Negotiated account term: an approved agreement sets a customer-specific price or schedule, with a start date, end date, and review owner.

State whether a customer receives the lower price on the order that crosses a threshold or only on later orders. Clarify whether tiers apply retroactively to all purchases in a period or only to units after the threshold. These details materially change the economics and must not be left to staff interpretation.

4. Check costs and margin

Model the full cost of serving each qualifying order: product or production cost, selling effort, picking and handling, packaging, delivery, payment processing, returns, support, and expected credit risk. A larger order may lower per-unit handling or delivery cost, but it does not automatically justify any particular reduction. Under U.S. Robinson-Patman analysis, the relevant facts can include differences in manufacturing, sale, or delivery costs resulting from different methods or quantities.

Run the policy against ordinary, low-margin, expedited, remote-delivery, and returned-order scenarios. Record the assumptions and the person who approved them. If a tier works only when every operational saving occurs, add a control or narrow the eligibility rather than relying on optimistic assumptions.

5. Set approval and exception controls

Separate standard terms from exceptions. A policy should identify who may approve a customer-specific price, the evidence required, the maximum duration, and the review date. Require a written reason for an exception, such as a documented cost difference or a good-faith response to a competitor’s offer. Do not let sales staff create undocumented permanent prices through ad hoc quotes.

6. Write customer-facing terms

State the qualifying condition next to the price wherever a customer sees it. Include the eligible customer type or threshold, covered products, measurement period, start and end dates, exclusions, treatment of returns and credits, and whether taxes or delivery charges are calculated before or after the reduction. Use the same definitions in account agreements, quotes, order confirmations, invoices, and staff instructions.

Choose a model that fits your operation

The following are practical design choices, not criteria imposed by the IRS or FTC. Compare them on access, trigger, predictability, cost impact, and administrative effort.

Policy model Eligibility Trigger Predictability Cost and margin considerations Administration
Published trade schedule All verified trade accounts meeting the stated terms Per-order quantity or named categories High; customers can calculate the price Must withstand the economics of every qualifying order Simple when the price list and rules are maintained centrally
Cumulative-volume schedule Approved accounts that reach a period total Purchases during a defined calendar or rolling period Medium; customers need progress information Requires controls for returns, credits, and threshold timing More complex tracking and reconciliation
Negotiated account terms Selected accounts with written approval Contracted price, volume, or service commitment Varies by agreement Can reflect account-specific service cost, but exceptions need review Highest risk of inconsistent quotes without version control

Calculate and communicate the net price

Keep the arithmetic explicit in your internal price logic even if the customer-facing document shows only a net amount. For a percentage reduction, the basic calculation is:

Net price = list price × (1 − discount rate)

For an illustrative, non-prescriptive example, a $100 list price with a 12% trade reduction produces a $88 net price. The example demonstrates the calculation only; it does not recommend 12% or any other rate.

Show eligibility where the price appears

A public price should not imply that everyone receives a restricted promotion. The FTC’s FAQ for its Rule on Unfair or Deceptive Fees says that when a promotion is unavailable to everyone, the displayed total price should not include it for everyone. A seller can update the total after the customer meets the requirements. Apply that principle to trade-account pricing: show the generally available total first, then apply the restricted price after the account or order qualifies, with the condition visible.

For a quote or account portal, display the list or standard price, the qualifying condition, the resulting net price, and the validity date. On an invoice, use wording that matches your accounting policy and customer agreement. If the trade reduction is embedded in the net amount rather than shown as a separate line, make the qualification clear in the surrounding terms so the customer is not misled about who can receive it.

Handle tax, freight, and other charges consistently

Define whether sales tax, freight, service charges, deposits, and surcharges are calculated from the net merchandise amount or under another rule applicable to your jurisdiction and transaction. Do not assume that a trade reduction changes every component of an invoice. Give staff one written example for each common transaction type and have the tax or accounting adviser confirm the treatment.

Record the net amount correctly

Under the treatment described in IRS Publication 334 (2025), trade discounts are not entered separately in the books; the net merchandise amount is used as the cost. That is different from the publication’s discussion of cash discounts and purchase-discount accounting methods.

  1. Create one product or service price record for the list price and a controlled rule that determines eligibility.
  2. When the rule qualifies an order, calculate and store the net amount, the rule version, the approval or account identifier, and the effective date.
  3. Send the same net amount to the quote, order confirmation, invoice, and accounting entry; prevent manual re-keying where practical.
  4. Retain the evidence supporting qualification, including account verification, quantity or cumulative-purchase calculations, approved exceptions, returns, and credits.
  5. Reconcile credited or returned goods to the period and tier that generated the original price, then document any adjustment.

Keep an audit trail that lets a reviewer reproduce the price from the list version, trigger, and approval in effect at the time. Confirm with your accountant whether your tax-basis, inventory, revenue-recognition, and system requirements call for additional records.

Price differences and Robinson-Patman considerations

The 2024 U.S. Code text of 15 U.S.C. §13 addresses price discrimination between different purchasers of commodities of like grade and quality when the statute’s commerce and competitive-effect conditions apply. It allows differentials making due allowance for differences in manufacturing, sale, or delivery costs resulting from differing methods or quantities.

FTC guidance on price discrimination identifies cost justification and good-faith matching of a competitor’s price as potential defenses. Those are fact-specific possibilities, not a blanket safe harbor for every volume or trade-account discount. Preserve the cost analysis and matching evidence behind a price, and obtain counsel’s review when the policy could affect competing purchasers or markets.

Restricted promotions and total-price displays

When a promotion is not available to everyone, do not present a reduced total as though every customer qualifies. Show the conditions and apply the lower total after qualification. Confirm the current coverage and application of the FTC’s fee rule to your particular offer before relying on this guidance.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Independent pricing from competitors

Set your schedule independently. The Federal Trade Commission’s price-fixing guidance states: “Competitors at each level of the supply chain must set prices independently.” The guidance explains that price fixing can include agreement on terms that affect purchaser prices, including discount programs. Do not exchange proposed tiers, minimum prices, customer-specific concessions, or coordinated discount calendars with competitors.

Test the policy before staff use it

  • Eligibility test: an unverified customer sees the standard price; an approved account sees the trade price only after the stated condition is met.
  • Threshold test: orders just below, exactly at, and just above each threshold produce the intended result.
  • Timing test: the system applies the correct rule when a price list, account status, or agreement changes.
  • Returns test: a return or credit reverses the correct quantity and does not silently preserve an unearned cumulative tier.
  • Exception test: only authorized users can create an exception, and every exception has an end date and reason.
  • Invoice test: the displayed condition, net amount, tax treatment, and freight treatment match the written terms.
  • Accounting test: the books receive the net merchandise amount required by your accounting policy, with supporting records retained.

Review performance and revise carefully

After launch, review actual results on a defined cadence. Compare order mix, handling and delivery cost, gross margin by account and product category, returns, overdue balances, and customer movement between tiers. Look for customers who split orders to reach or avoid a threshold, accounts receiving repeated exceptions, and products whose cost has changed since the list price was set.

Change one rule at a time where possible, publish an effective date, and preserve the prior version for open quotes and existing agreements. Tell customers how the change affects eligibility and pending orders. A discount policy is working when staff can apply it consistently, customers can understand it, and the resulting net prices remain economically and legally defensible.

Product prices and availability are accurate as of the date/time indicated and are subject to change. Any price and availability information displayed on Amazon at the time of purchase will apply.
