How Airlines Manage Repayment Risk When Financing New Aircraft

Airlines manage new-aircraft repayment risk through diversified funding, matched amortization, collateral, hedging, maintenance controls and recovery plans that can lead from restructuring to repossession or sale.

Airlines manage aircraft-repayment risk by combining several funding sources instead of relying on one loan, matching payment schedules to the aircraft’s expected cash generation, and giving financiers enforceable rights over the aircraft and related contracts. Cash, operating leases, sale-and-leasebacks, bank loans, capital-markets debt, export-credit support and credit enhancements each shift liquidity, residual-value and refinancing risk in different ways.

The protection does not end at delivery. Lenders monitor liquidity, route economics, maintenance, insurance, currency and interest rates throughout the aircraft’s life. If an airline’s cash flow weakens, the usual sequence is a negotiated amendment where possible, followed—if necessary—by repossession, re-lease, remarketing or sale of the aircraft.

Why is financing a new aircraft a repayment-risk problem?

A new aircraft is a long-lived, expensive asset whose value and earning power depend on passenger demand, fuel prices, maintenance condition, configuration and the health of the operator. Debt or lease payments may begin before the aircraft has established profitable routes, while the final maturity can depend on refinancing or a future sale.

Risk therefore has two linked dimensions. The airline must remain able to pay, and the aircraft must retain enough utility and market value to support recovery if the airline fails. A conservative structure addresses both rather than treating the aircraft mortgage as a complete solution.

Airline-level risks

  • Liquidity can be consumed by fuel-price spikes, weak demand, labor disruption, heavy maintenance or acquisitions.
  • Leverage and concentrated fleet orders can create several large payments at the same time.
  • Foreign-currency liabilities and floating interest rates can increase debt service even when the aircraft’s revenue is unchanged.
  • Refinancing may be unavailable or expensive when credit markets tighten.

Aircraft-level risks

  • A specialized configuration, older technology or poor maintenance status can reduce the pool of potential operators.
  • Residual value may fall below the balance of a loan or the amount needed to settle a lease.
  • Repossession and export can be delayed by local law, airport access, records, insurance or maintenance disputes.

How do airlines split aircraft funding among different sources?

Airlines deliberately mix funding channels so that no single lender, maturity or risk assumption determines the entire repayment profile. Boeing’s 2025 delivery-funding framework distinguishes cash, lessor financing, capital markets, bank debt, export credit and credit-enhanced structures.

Funding channel What it does Main repayment-risk trade-off
Cash or equity Pays part of the delivery price without funded principal. Reduces debt service and refinancing, but uses liquidity that could absorb operating shocks.
Bank debt Provides aircraft-secured or unsecured commercial borrowing. Secured loans offer collateral protection; unsecured loans depend more on corporate credit and may carry restrictive covenants.
Capital markets and EETCs Raises money from multiple investors through structured or unsecured debt. Diversifies banks and can extend tenor, but requires significant documentation, disclosure, ratings and transaction scale.
Operating lease or sale-and-leaseback A lessor buys or owns the aircraft and leases it to the airline. Releases cash and moves residual-value work to the lessor, while creating fixed rent, maintenance and return-condition obligations.
Export-credit support A government export-credit agency guarantees or lends into a commercial structure. Can improve pricing or availability, but imposes eligibility, security, amortization and documentation conditions.
Credit enhancement Adds guarantees, reserves, insurance or other support to improve lender protection. May lower funding risk while adding fees, controls and claims on guarantors or reserve assets.

What the latest delivery mix shows

Boeing’s 2025 data show how diversified funding is in practice. For 2024 global deliveries, lessor financing represented 27%, cash 31%, capital markets 17%, bank debt 18%, export credit 3% and credit-enhanced funding 2%. These percentages describe delivery funding, not every later refinancing or lease renewal.

Boeing recorded 270 Boeing deliveries in the first half of 2025 and forecast 43,600 commercial aircraft deliveries worldwide from 2025 through 2044. Its 2026 market update described tight pricing and strong competition for high-quality credits, notable bank financing for widebody aircraft, continued leasing strength for single-aisle aircraft and greater participation by local and regional banks. Those are market observations, not a promise that every airline will receive the same terms.

Is sale-and-leaseback safer than buying an aircraft with bank debt?

Neither structure is automatically safer. A sale-and-leaseback usually lowers the airline’s immediate cash requirement and transfers ownership and residual-value exposure to a lessor; a bank loan preserves ownership upside but leaves the airline responsible for debt service and the aircraft’s eventual value.

How a sale-and-leaseback works

  1. The airline acquires or orders the aircraft.
  2. A lessor purchases the aircraft at delivery, often using its own bank or capital-markets funding.
  3. The airline leases the same aircraft back under an operating lease.
  4. The airline pays rent and meets maintenance, insurance, use and return-condition requirements.

The rent is a contractual obligation even if a route becomes unprofitable. A lease can therefore replace refinancing and residual-value risk with lease-renewal, rent and redelivery risk. The lessor generally handles remarketing and bears ownership exposure, but the airline gives up the value it would have retained if the aircraft appreciated.

When bank debt may fit better

An aircraft-secured loan can offer direct control over amortization, a relationship lender and potential ownership upside. The airline must provide a mortgage and comply with covenants, reserves, insurance and maintenance requirements. A large balloon payment can make the loan look affordable early while leaving repayment dependent on a future sale or refinancing.

How do lenders test whether an aircraft can repay its financing?

Underwriting examines the airline and the asset together. A strong corporate borrower cannot fully offset an aircraft that is difficult to maintain or sell, and a liquid aircraft cannot fully protect a weak operator with no cash buffer.

Airline and guarantor analysis

  • Liquidity, free cash flow, leverage and profitability under downside scenarios.
  • Route economics, fleet concentration, order commitments and exposure to one manufacturer or aircraft family.
  • Access to bank and capital markets, maturity concentrations and committed backup liquidity.
  • Currency, interest-rate and fuel-price exposure, including the effectiveness of hedges.
  • Strength, legal enforceability and financial capacity of any parent or third-party guarantor.

Aircraft and operating analysis

  • Aircraft type, age, engine selection, cabin configuration and number of potential operators.
  • Maintenance status, engine reserves, records, life-limited parts and compliance with return conditions.
  • Lease-rate and residual-value assumptions under normal and stressed market conditions.
  • Operator permits, maintenance and operations contracts, insurance and the ability to transfer or remarket the asset.
  • Jurisdictional rules governing registration, deregistration, repossession and export.

OSFI’s 2026 object-finance framework illustrates the distinction between stronger and weaker structures. It gives more favorable treatment to schedules that fully pay out the exposure or leave only a low balloon, while a fine (single final payment) or high balloon is weaker. The framework also considers operating permits, operations and maintenance contracts or reserve accounts, operator track record, re-marketing capability, asset configuration, maintenance, sponsor strength and the security package.

Why the balloon matters

A balloon is the principal left for the maturity date. A low or zero balloon reduces dependence on the aircraft’s future sale price and on refinancing markets, although it increases scheduled payments during the loan term. An airline may still choose a balloon when it has strong liquidity, reliable residual-value support or a credible refinancing plan; the right level depends on the aircraft, operator and market.

What protections do aircraft-secured lenders require?

The security package is designed to preserve value and give the lender several routes to repayment. Typical documents combine an aircraft mortgage with controls over cash, insurance, maintenance and additional borrowing.

  • Aircraft mortgage: creates a priority claim over the airframe and, where applicable, related rights.
  • Lease and contract assignments: direct lease payments, insurance proceeds and selected operating-contract rights to a security trustee.
  • Covenants: limit extra debt, asset transfers, liens, dividends or changes in control that could weaken recovery.
  • Maintenance and reserve requirements: require timely inspections, engine work and funded reserves so the aircraft remains marketable.
  • Insurance and loss-payee provisions: preserve proceeds after physical damage or total loss.
  • Cash reserves and liquidity tests: provide a buffer for rent, interest, maintenance or other near-term obligations.
  • Default and deregistration rights: establish the steps for taking control, exporting and selling or leasing the aircraft, subject to local law.

How does export-credit finance reduce repayment risk?

Export-credit support adds a government-backed guarantee or direct loan to a commercial aircraft-finance structure; it does not eliminate analysis of the airline. The U.S. Export-Import Bank (EXIM) says its credit decision combines the creditworthiness of the airline or lessee and any guarantor with the finance-lease structure, a first-priority aircraft mortgage and other mitigants.

EXIM’s finance-lease structure

In the standard structure, a special-purpose company (SPC) borrows, owns and leases the aircraft to the airline. The SPC owner’s shares are pledged to a security trustee with a first-priority perfected security interest. This separates legal ownership from the airline’s operating balance sheet and gives lenders control rights if the airline defaults.

EXIM states that its maximum supported repayment term is 12 years. Supported financing must amortize to zero in quarterly or, in special circumstances, semi-annual installments using straight-line or mortgage-style payments. For a new aircraft, support can reach 85% of the U.S. contract price net of specified credits, subject to U.S.-content and transaction-risk limits. The airline or other investors must fund the remaining requirement and satisfy the agency’s conditions.

How are currency and interest-rate risks controlled?

Aircraft collateral does not prevent a mismatch between the currency of revenue and the currency of debt. Airlines can hedge the financial exposure separately with swaps, forwards or other derivatives, while continuing to manage aircraft value and lease obligations.

Lufthansa’s 2025 annual report provides a concrete example: it says the group converts financial liabilities in all currencies into euros using interest-rate derivatives. At 31 December 2025, Lufthansa reported €14.527 billion in total financial liabilities, including €3.459 billion of lease liabilities. Its maturity table showed €552 million of lease payments due within one year, €1.877 billion due in one to five years and €1.733 billion due later. These figures are the group’s disclosed obligations on that date, not a standard exposure for every airline.

Hedging can stabilize cash payments but introduces collateral, counterparty and accounting requirements. A lender therefore tests the hedge documentation, termination provisions and ability to meet margin or collateral calls during stress.

What happens when an airline cannot make its aircraft payments?

The preferred outcome is usually a consensual amendment that keeps the aircraft earning revenue. If that fails, secured parties enforce their rights and use the aircraft’s operating and sale value to recover the claim.

Typical restructuring actions

  • Defer or re-profile scheduled principal, interest or rent.
  • Inject equity, provide a parent guarantee or add collateral.
  • Extend maturity, reduce a balloon or exchange debt for another instrument.
  • Modify lease terms while requiring maintenance, reporting and reserve funding.
  • Keep the aircraft flying under tighter cash controls and enhanced monitoring.

UK Export Finance (UKEF) reports that unsecured recoveries commonly come through a restructuring and amended repayment profile. Secured financings may follow the same consensual path or proceed to enforcement and realization of proceeds.

If enforcement becomes necessary

  1. The lender or trustee establishes a payment default and follows contractual notices.
  2. It seeks deregistration, possession and control of the aircraft under the applicable jurisdiction.
  3. The aircraft is inspected, preserved and returned to a marketable maintenance condition.
  4. A servicer solicits replacement operators and assesses a re-lease versus sale.
  5. Proceeds from rent or a sale are applied through the agreed payment waterfall.

UKEF states that the aircraft is the most obvious recovery source when an airline obligor defaults. In its 2024–25 reporting, 10 of 14 aircraft repossessed after the COVID-19 crisis were on operating leases. UKEF also describes retaining an aircraft on lease to generate income and selling it later with the lease attached when market conditions make that the better recovery decision. This timing option can protect value better than a forced sale during a weak market.

S&P’s aircraft-asset-backed securities methodology likewise treats lease payments and aircraft sale proceeds as the principal repayment cash flows. It emphasizes the servicer’s ability to repossess, remarket, re-lease and sell, showing why documentation and execution capacity matter as much as the nominal collateral value.

Which structure best balances liquidity, ownership and recovery?

The answer depends on the airline’s credit, aircraft type, jurisdiction, currency, interest-rate basis, delivery timing, maintenance condition and assumed residual value. The following comparison is a starting framework rather than a universal ranking.

Decision axis Cash/equity Bank debt or EETC Operating lease or sale-and-leaseback ECA-supported finance lease
Upfront liquidity Highest cash use Preserves cash but adds debt Releases or preserves cash Usually requires an equity contribution alongside supported debt
Payment exposure No funded-portion debt service Principal and interest Contractual rent and maintenance obligations Scheduled amortization and lease payments
Residual-value risk Airline retains it Usually retained by the borrower, subject to collateral Lessor generally bears ownership and remarketing risk SPC, lessor and lenders rely on aircraft value and security
Refinancing risk Lowest for the cash-funded share Depends on tenor and balloon Lease renewal or replacement risk Reduced by mandated amortization but still exposed to obligor and asset performance
Recovery tools No lender recovery needed on the cash share Mortgage, covenants, repossession and sale Lessor repossession and re-lease First-priority mortgage, SPC pledge, guarantee, repossession and remarketing
Best question to ask Can liquidity be spared? Is airline credit strong enough for the tenor? Is rent flexibility worth giving up ownership upside? Do enhanced terms justify fees, conditions and documentation?

What should management monitor after delivery?

Repayment risk changes over time, so an approval memo is not enough. Airlines and lenders should maintain a rolling dashboard covering:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Cash and committed liquidity against the next 12 months of debt, rent and maintenance.
  • Actual route contribution and aircraft utilization versus the underwriting case.
  • Balloon maturities, refinancing windows and concentration by lender or lessor.
  • Maintenance reserves, upcoming checks, engine events and records completeness.
  • Current lease rates, recent transactions and the aircraft’s likely remarketing pool.
  • Currency and interest-rate hedge coverage, collateral calls and counterparty exposure.
  • Compliance with insurance, reporting, ownership, registration and additional-debt covenants.

Early action—such as extending maturities, adding liquidity or arranging a replacement operator—is generally less destructive than waiting for a missed payment and an enforcement process.

Frequently Asked Questions

Can an airline use more than one financing method for the same aircraft?

Yes. A delivery can combine an airline equity contribution with a lessor, bank, capital-markets or export-credit tranche. The documents must allocate liens, payment priorities, maintenance duties and default remedies so that the layers do not conflict.

Who pays for maintenance during an aircraft lease?

The lease normally makes the airline responsible for scheduled and condition-related maintenance, often through reserve payments or maintenance reserves. The exact amount depends on utilization, engine terms, return condition and the negotiated lease provisions.

Why can a newer aircraft still be difficult to remarket after default?

Age is only one factor. A narrow customer base, unusual cabin layout, engine availability, missing records, sanctions or a maintenance event can sharply reduce the number of replacement operators even for a young aircraft.

What is an aircraft finance payment waterfall?

It is the contractual order in which operating income, insurance proceeds or sale proceeds are distributed. Senior interest and principal usually rank ahead of junior claims, reserves and equity, subject to the specific transaction documents.
